Megan Italiano advises healthcare and corporate clients on a broad range of transactional, regulatory, compliance and corporate matters, including mergers, acquisitions, dispositions, joint ventures, private equity deals, entity reorganizations, financings, strategic investments, and physician practice management. In connection with representing healthcare providers, Megan has worked with physician and dental practices, hospitals, ambulatory surgery centers, medical and dental services organizations, and other services providers.

Background

Prior to joining Kaleo Legal, Megan practiced at an Am Law 100 law firm and an Am Law 200 law firm, both headquartered in Richmond, Virginia.

Prior to law school, Megan worked in various health care and biomedical sciences roles. Megan received her Juris Doctor degree from the William & Mary Law School, where she graduated summa cum laude and founded the Health Law and Policy Society. She earned a Bachelor of Arts in Biology degree from the University of San Diego.

Representative Experience:

Represented private equity-backed medical services organization in the acquisition of multiple cardiology practices, physician practice management and capital raises. Represented dental services organizations in connection with initial formation and structuring and subsequent acquisitions of dental practices. Negotiated de novo surgery center joint venture between large hospital system and large orthopedic physician practice. Represented large orthopedic practice in sale of physician practice and three ambulatory surgery centers to a private equty-backed medical services organization. Represented a buyer in its cross-border acquisition of a global healthcare company’s medical products business. Represented a private equity-backed primary care provider in a transaction involving the acquisition of Chapter 11 liquidation assets.
