Ryan Hanson advises clients on corporate transactions across the business life cycle, including mergers and acquisitions, dispositions, joint ventures, private equity investments, entity reorganizations, financings and strategic investments, drawing on 10+ years of experience practicing corporate and transactional law.
Background
Prior to joining Kaleo Legal, Ryan practiced at an Am Law 200 law firm headquartered in Richmond, Virginia. Throughout his practice, Ryan has represented companies in a wide range of industries such as healthcare, insurance, retail, manufacturing, auto, real estate and financial services. He frequently serves as outside general counsel on governance, commercial contracting and financing matters and enjoys partnering with management teams and investors as a strategic advisor.
A Hampton Roads native, Ryan earned his law degree and MBA from Wake Forest University and was a varsity swimmer at Washington and Lee University. Active in the community, Ryan currently serves on the board of directors of An Achievable Dream Virginia Beach, Inc. and the Cosmopolitan Club of Norfolk. He is a member of CIVIC Leadership Institute Class of 2023 and previously served on the board of directors of the Virginia Beach Division of the Chamber of Commerce. Ryan was selected to the inaugural Virginia Business “Forty Under 40” class in 2025, recognizing rising business leaders across the Commonwealth. In his free time, Ryan enjoys spending time with his wife and three kids, spearfishing and playing music.
Representative Experience:
- Represented private equity investment firm in its acquisition of a mental health and substance use disorder treatment provider serving patients across multiple states.
- Represented public company in multiple domestic and international reorganizations and consolidation transactions.
- Represented closely held and family‑owned businesses in liquidity and succession transactions, including stock and asset sales, redemptions, and management buyouts for automotive, manufacturing, and professional services companies.
- Counsel to venture‑backed and growth‑stage companies on preferred equity and convertible note financings for companies in a myriad of industries, including technology, healthcare and consumer products companies.
- Represented private equity-backed services platform in completing more than a dozen add‑on acquisitions of oil change and quick‑lube businesses across multiple states.
- Assisted real estate investment conglomerate with several corporate restructurings and buyouts.
- Represented buyer in its cross-border acquisition of a global healthcare company’s medical products business.
- Represented private equity-backed behavioral health treatment provider in a joint venture transaction involving the acquisition of Chapter 11 liquidation assets.
- Assisted wholesaler in the sale of its logistics business to a publicly traded consumer goods company.
- Represented marina owner and operator in its sale to a large owner and operator.
- Represented group of privately held companies in the sale of their waste disposal business and related real estate assets.
- Assisted buyer with the acquisition of stock of a broadband internet service provider.
- Advised the special committee of the client’s board of directors regarding investigation of sensitive regulatory and compliance matters.
